Flooring retailer acquired in pre-pack deal by home improvement specialist

Nestware Holdings Limited (Nestware), a specialist in the home improvement industry, has announced the acquisition of the business of UK Flooring Direct (UKFD) by Nestware’s online flooring subsidiary Keswick Flooring Limited (Keswick).

The business has been bought from the administrators of UKFD, Paul Meadows and Dan Smith, both of Teneo Financial Advisory, in a pre-pack transaction.

Lead Administrator, Paul Meadows, said “I’m very pleased that following an accelerated sale process run by our Special Situations M&A team, we have been able to secure a future for UK Flooring Direct. The sale safeguards all of UKFD’s 85 employees in Coventry and gives the business the strategic backing it requires to fulfil its ambitions. As part of the sale agreement, any outstanding customer orders will also be fulfilled.”

UKFD has been a trusted name in the online retail sector for over a decade and a half. The brand has built a reputation for its comprehensive range of high-quality products and exceptional customer service offered at compelling prices. It offers an array of flooring options from solid wood and laminate to luxury vinyl tiles, catering to a broad spectrum of tastes and budgets.

Commenting on the transaction, UKFD CEO Jason Ashby said: “I’m pleased to say that we’ve found in Nestware the ideal partner to continue our long-standing heritage as a leading provider of flooring to the UK consumer and trade markets.”

Keswick, likewise, has a rich history dating back to 1985. Recognised as one of the first online retailers of flooring products in the UK, its main brand Flooring Supplies has consistently pushed the boundaries of traditional retail with its innovative approach. The company carries an extensive inventory of top-quality flooring materials and accessories, backed up by expert advice and premium customer support.

Keswick CEO James Davey stated:  “This acquisition brings together two powerhouses of the online flooring retail sector, creating an entity that is well-positioned to capitalise on the evolving market trends towards convenience, service and value.”

By integrating UKFD into Nestware, the group aims to leverage synergies between the brands to offer an even more comprehensive product range, improved customer experiences, greater value and stronger after-sales support. Furthermore, this acquisition allows the group to reach a wider audience, extending its footprint across the UK. This strategic move marks a significant milestone in Nestware’s mission to change the way people buy flooring.

“Nestware is dedicated to transforming the way consumers and trade customers buy flooring across Europe,” commented Kevin Barrett, CEO of the Nestware Group. “The acquisition of UKFD is a testament to this commitment. Together, these brands will shape the future of the flooring industry and redefine the way consumers shop for flooring online.”

Legal support to the administrators was provided by Eversheds Sutherland (Mark Wood, Ian Gill, Gurjeet Kaur Walia, Rhiannon Mathias, Anne-Louise Lawrence and Catherine Hallam). Nestware and Keswick were supported by Womble Bond Dickinson (Andy Stirk, Victoria Proctor, Laura Beardsmore, Sheilah Mackie and Alistair Walton).
